Annual General Meeting

Saturday August 3rd, 9:00 – 10:30

at Gordon Bay Marine

Dear Member Families:

We look forward to welcoming everyone back to Gordon Bay Marine’s showroom for our AGM on the Saturday of the August long weekend.  Coffee and treats will be available from 8:30 am and the meeting will start promptly at 9:00 am. We encourage you to bring your neighbours and arrive early to enjoy a coffee and meet the board. An online option is available for those who prefer to join via Zoom. 

LJNA activities are motivated by and focused on working together to find the best ways to share our beautiful Lake Joe.  One of the ways we do this is to come together at our AGM.  This year, in addition to updates from Seguin Council and the board, our member Scott Francisco <link to bio: https://www.pilot-projects.org/people> will help us continue the conversation about our shared values, hopes and concerns for our Lake Joe. We are really looking forward to hearing from everyone.

Details about the meeting including the agenda, motions and proxy are included below.  Please don’t hesitate to be in touch ahead of the meeting if you have questions or comments on anything here. 

An update on the LJNA activities was included in the summer newsletter which was delivered to your dock earlier this month. If you missed your copy, you can download it from the LJNA website <link: https://ljna.org/Newsletters>.  Thank you to the dozens of volunteers who helped by writing articles, stuffing and delivering the newsletter - truly a team effort!

• Review of the minutes of the last year’s annual meeting August 5^th, 2023;
• Consideration of the unaudited financial statements of the LJNA for the financial period ending March 31, 2024;
• The election of 8 directors.  The following nominees are running for election

• Extraordinary resolution to dispense with an audit and review engagement and to dispense with appointment of an auditor;:

• Transaction of any other business that properly comes before the meeting or any adjournment thereof.

All member families in good standing are entitled to notice of and to attend and vote at the meeting. To attend virtually and vote at the meeting, you will need to register at the Zoom link below.

Your vote is important. If you do not plan to attend the meeting, please complete, date and sign the enclosed proxy form so that your vote can be represented at the meeting

MEMBERSHIP AND VOTING

You can renew your membership before the AGM (by 4pm the day prior please) at https://ljna.org/join-us. Or bring payment to the meeting.  Each family in good standing is entitled to one vote at the AGM.

PROXY

For those of you who will not be attending, we ask that you fill out the proxy form and return it to Blair Sinclair at secretary@ljna.org by 4 pm Friday August 2nd.  One proxy per family please.

ZOOM MEETING REGISTRATION

Members can join the meeting by Zoom.  Participants will be able to hear the presenters and the presentations, ask questions and vote. To attend you must pre-register.

NOTE ON THE NEW FINANCIAL REVIEW REQUIREMENTS

Under the new Ontario Not-for-Profit Corporations Act, 2010 the requirements for an audit and/or review engagement can be waived by the members of a not-for-profit corporation like ours (a “non-public benefit corporation”) by an Extraordinary Resolution (at least 80% of the votes cast) at a Special Meeting.  The motion is to dispense with conducting an audit or review engagement and to dispense with appointing an auditor for the coming year.
